These Terms apply to all services provided by Primevexa Solutions Pvt. Ltd., Mumbai, Maharashtra, India. By engaging our services you agree to these Terms. For enquiries, contact legal@primevexasolutions.com.
1Introduction & Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "Candidate", or "User") and Primevexa Solutions Pvt. Ltd. ("Primevexa", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, with its registered office in Mumbai, Maharashtra, India.
By engaging our services — whether as a client organisation seeking to hire, a candidate registering for placement, or a visitor using our website — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
Primevexa holds a valid Recruiting Agent (RA) licence under the Emigration Act, 1983, authorising us to recruit Indian nationals for lawful employment overseas. All overseas recruitment activities are conducted in compliance with applicable Indian law and the regulations of the destination country.
2Services Offered
Primevexa provides the following categories of services:
Overseas Recruitment Services
• Healthcare recruitment — placing qualified doctors, nurses, paramedics, allied health professionals, and hospital administrators with accredited healthcare institutions in GCC countries (UAE, Saudi Arabia, Qatar, Bahrain, Kuwait, Oman), the United Kingdom, and Europe.
• Hospitality recruitment — sourcing chefs, food & beverage professionals, housekeeping staff, front office executives, and hotel management personnel for international hotel chains and resorts.
• Other overseas industries — IT & technology, engineering, manufacturing, security, retail, and general skilled trades across GCC, UK, and South-East Asian markets.
Government Sector Manpower
• Supply of skilled and semi-skilled workforce to Maharashtra state government departments, municipal bodies, and public-sector undertakings under duly executed tender agreements.
• Services include healthcare personnel for government hospitals, administrative staff, security personnel, sanitation workers, and technical specialists.
Private Sector Staffing
• Temporary and permanent staffing solutions for private enterprises across healthcare, hospitality, IT, banking, logistics, manufacturing, and retail sectors.
• Executive search and mid-senior management hiring.
• Payroll management and statutory compliance (PF, ESIC, PT) for deployed workforce.
3Client Obligations
As a client organisation engaging Primevexa's services, you agree to:
Documentation & Authorisation
• Provide a valid and duly attested Demand Letter on your organisation's letterhead, specifying roles, number of positions, compensation, and contract duration, for any overseas hiring engagement.
• For overseas hiring, furnish all required government approvals from the competent authority of your country, and a valid Power of Attorney authorising Primevexa to recruit on your behalf.
• Ensure all job offers comply with the labour laws of the destination country and with Indian Emigration Act requirements.
Conduct & Non-Circumvention
• Not approach, solicit, or directly hire any candidate introduced by Primevexa without settlement of the applicable placement fee.
• Not share candidate profiles with third parties without Primevexa's written consent.
Fees & Payment
• Pay the agreed placement fee as per the signed Service Agreement or Memorandum of Understanding (MoU).
• Invoices are due within the period specified in the agreement (typically 15–30 days from the date of joining of the placed candidate).
• Late payments beyond the agreed period will attract interest at 18% per annum.
Compliance
• Ensure that deployed candidates are treated in accordance with applicable labour laws, employment contracts, and human rights standards.
• Notify Primevexa of any material change in the role, compensation, or working conditions offered to a candidate before or after deployment.
4Candidate Obligations
As a candidate registering with Primevexa for domestic or overseas placement, you agree to:
Accuracy of Information
• Provide complete, accurate, and truthful information regarding your qualifications, work experience, certifications, licences, health status, and personal details.
• Immediately inform Primevexa of any change in your circumstances — including cancellation of a professional licence, health issues, or criminal proceedings — that could affect your suitability for a role.
• Submission of false or fraudulent documents is a criminal offence under Indian law and will result in immediate termination of our engagement and reporting to the relevant authorities.
Document Compliance
• Hold a valid passport with a minimum validity of 18 months (or as required by the destination country) at the time of visa application.
• Obtain and submit all required documents — educational certificates, professional licences, medical fitness certificates, and police clearance certificates — within the timelines specified by Primevexa.
Emigration Compliance (Overseas Candidates)
• Consent to the submission of your details on the Government of India's eMigrate portal for emigration clearance where required.
• Not travel on a work visa obtained through misrepresentation of the nature of employment or destination.
Conduct
• Not engage concurrently with multiple recruiting agents for the same overseas position without disclosure.
• Honour the employment contract signed with the overseas employer. Early termination without cause may result in recovery of relocation and processing costs from the candidate.
No Fees to Candidates
Primevexa does not charge any fee from candidates for domestic placements. For overseas placements, any permissible service charge (as authorised under Emigration Rules) will be disclosed in writing before collection. We strictly prohibit the collection of unauthorised fees from candidates.
5Fees, Payment & Refunds
Placement Fees (Clients)
Fees are agreed in a signed Service Agreement before commencement of the search. Fee structures vary by engagement type:
• Retained search: A portion paid at inception, balance on successful placement.
• Contingency search: Full fee invoiced upon the candidate's date of joining.
• Manpower supply contracts: Fees as per the agreed rate card in the government tender or private contract.
Replacement Guarantee
• For permanent placements, Primevexa offers a replacement guarantee of 90 days from the candidate's date of joining, applicable where the candidate exits due to performance issues on our part.
• The guarantee is void if the client changes the role, compensation, or working conditions post-offer, or if the candidate is terminated for misconduct.
Refunds
• Retainer fees are non-refundable once the search has commenced.
• If a placed candidate does not join due to a failure on Primevexa's part, fees paid will be credited toward a replacement search.
Taxes
All fees are exclusive of Goods and Services Tax (GST). Applicable GST at the prevailing rate will be added to invoices.
6Regulatory Compliance
Primevexa conducts its operations in full compliance with the following legislation and regulations:
Overseas Recruitment
• Emigration Act, 1983 and Emigration Rules, 1983 — all overseas placements are conducted through the licensed eMigrate portal.
• Foreign Exchange Management Act (FEMA), 1999 — for cross-border fee transactions.
• Passports Act, 1967 — no candidate's passport is retained by Primevexa without the candidate's written consent.
Labour Laws (Domestic)
• Contract Labour (Regulation and Abolition) Act, 1970.
• Employees' Provident Funds and Miscellaneous Provisions Act, 1952 (EPF).
• Employees' State Insurance Act, 1948 (ESI).
• Payment of Wages Act, 1936 and Minimum Wages Act, 1948.
• Maharashtra Labour Welfare Fund Act, 1953.
Government Procurement
• Maharashtra Public Procurement Act, 2012 for government sector engagements.
Clients and candidates are also required to comply with applicable laws in their respective jurisdictions.
7Confidentiality
Both parties agree to treat as strictly confidential all non-public information received during the course of engagement, including:
- Candidate profiles and personal data.
- Client business requirements, workforce strategies, and salary structures.
- Primevexa's proprietary candidate database, sourcing methodologies, and pricing.
Confidential information may not be disclosed to third parties without the disclosing party's written consent, except where required by law or regulation. This obligation survives the termination of the engagement for a period of 3 years.
8Limitation of Liability
Candidate Suitability
Primevexa uses reasonable professional judgment and multi-stage vetting processes to assess candidate suitability. However, we do not guarantee the performance, conduct, or continued availability of any placed candidate. Clients are encouraged to conduct their own interviews and due diligence before making final hiring decisions.
Third-Party Decisions
Primevexa is not responsible for visa rejections, embassy processing delays, or any decisions made by government immigration authorities.
Maximum Liability
To the fullest extent permitted by applicable law, Primevexa's total liability arising out of any claim — whether in contract, tort, or otherwise — shall not exceed the placement fee actually paid by the client for the specific engagement giving rise to the claim.
Exclusion of Consequential Loss
Neither party shall be liable for indirect, incidental, special, or consequential damages, including loss of profits, business, revenue, or goodwill, arising out of or related to these Terms.
9Intellectual Property
All content on the Primevexa website — including text, graphics, logos, images, and code — is the property of Primevexa Solutions Pvt. Ltd. and is protected under the Copyright Act, 1957 and applicable intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from any content on this website without our express written permission. Candidate profiles and job descriptions shared between the parties remain the confidential property of the respective party and may not be used for any purpose other than the engagement for which they were shared.
10Termination
Either party may terminate an engagement by providing written notice as specified in the signed Service Agreement (typically 30 days for ongoing manpower contracts).
- A client fails to make payment for more than 60 days past the due date.
- A candidate is found to have submitted fraudulent documents or provided materially false information.
- Either party engages in conduct that is illegal, unethical, or harmful to the other party or to third parties.
Primevexa reserves the right to terminate its engagement immediately and without notice if:
Upon termination, all confidential information must be returned or destroyed, and outstanding invoices become immediately due and payable.
11Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms — including disputes regarding formation, validity, or termination — shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra.
Informal Resolution
The parties agree to attempt to resolve any dispute informally by written notice and good-faith negotiation for a period of 30 days before initiating formal proceedings.
Arbitration
If informal resolution fails, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai. The arbitration shall be conducted in English by a sole arbitrator agreed upon by the parties (or, failing agreement, appointed by the Mumbai Centre for International Arbitration).
12Amendments
Primevexa reserves the right to amend these Terms at any time. Material changes will be notified via email or a prominent notice on our website. Your continued use of our services after the effective date of the amended Terms constitutes acceptance of the changes.
For existing signed Service Agreements, the Terms in force at the time of signing shall govern, unless both parties agree in writing to incorporate the updated Terms.
